General Terms and Conditions (GTC)

§ 1 Scope

These General Terms and Conditions apply to all contracts between Baduno GmbH, Mainzer Landstraße 166, 60327 Frankfurt am Main (hereinafter 'Baduno') and its customers regarding localization, website, and content services. The offer is directed exclusively at entrepreneurs within the meaning of § 14 BGB, legal entities under public law, and special funds under public law. Deviating terms and conditions of the customer shall only apply with express written consent.

§ 2 Conclusion of Contract

Representations on the website are non-binding. The contract is concluded by acceptance of our individual offer (for projects) or by completion of the online ordering process with order confirmation (for online bookings). The contract language is German; translations of these GTC are for information purposes only, the German version shall prevail.

§ 3 Scope of Services

The specific scope of services is set out in the offer or the package description at the time of ordering. Delivery dates are bindingly stated in the offer. Baduno may use subcontractors and technical services (including AI tools); contractual responsibility remains with Baduno.

§ 4 Customer Cooperation

The customer shall provide required content, access, and approvals in a timely manner and warrants that the content provided does not infringe any third-party rights. If cooperation is delayed, delivery dates shall be postponed accordingly.

§ 5 Prices and Payment

All prices are exclusive of statutory value added tax unless otherwise stated. Project services are due 50% upon order placement and 50% upon delivery, unless otherwise agreed in the offer. Monthly packages are invoiced monthly in advance. Payment by bank transfer, credit card, PayPal, or other payment methods offered during the ordering process.

§ 6 Term and Termination of Monthly Packages

Monthly packages have a minimum term of six months, unless otherwise agreed in the offer, and may thereafter be terminated with 14 days' notice to the end of the month. There is no automatic renewal of the minimum term; after the minimum term, the contractual relationship continues as a monthly subscription terminable on a monthly basis. Termination can be made in text form (e-mail is sufficient) or via the cancellation button on the website.

§ 7 Acceptance and Remediation

The customer shall inspect delivered services within 14 days. Baduno shall remedy complaints free of charge within a reasonable period. If remediation fails twice, the customer may reduce the price or withdraw from the affected part of the service.

§ 8 Usage Rights

Upon full payment, the customer receives the exclusive, unlimited in time and territory rights of use to the work results created for them. Baduno may mention the customer as a reference subject to prior consent.

§ 9 Liability

Baduno shall be liable without limitation for intent, gross negligence, and damages from injury to life, limb, or health. In the case of simple negligence, Baduno shall only be liable for the breach of material contractual obligations, limited to the typical, foreseeable damage. Machine translations without a booked native-speaker review do not constitute certified translations; no guarantee is given for their suitability for official purposes.

§ 10 Final Provisions

German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. For entrepreneurs, the place of jurisdiction is Frankfurt am Main. Should individual provisions be invalid, the contract shall remain otherwise effective.
